Terms of Service

1. Acceptance of Terms

By accessing or using Harmonic (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Harmonic (“we,” “us,” or “our”).

Browsewrap Notice: Your continued use of the Service constitutes your acceptance of these Terms and any modifications thereto. We recommend reviewing these Terms periodically for changes.

2. Description of Service

Harmonic provides studio management software for dance studios and similar businesses, including but not limited to scheduling, enrollment management, billing, communication tools, and related services (“the Service”).

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute harmful content, malware, or viruses
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Harvest or collect user information without consent
  • Use the Service for any illegal or unauthorized purpose
  • Process personal data of children under 13 without appropriate parental consent

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

6. Payment and Billing

Certain features of the Service require payment. By subscribing to a paid plan:

  • You agree to pay all fees associated with your selected plan
  • All fees are non-refundable except as required by law or as explicitly stated
  • We reserve the right to change pricing upon notice
  • Subscriptions automatically renew unless canceled before the renewal date
  • You authorize us to charge your payment method for all fees incurred

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Harmonic and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service subject to these Terms.

8. User Content

You retain ownership of any content you submit to the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

You may cancel your account at any time by following the cancellation procedures in your account settings or contacting support.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARMONIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Harmonic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be filed in the state or federal courts located in California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
